6. Orders and Pricing

All orders are subject to acceptance by The Lapidary Office. An order is not accepted until it has been confirmed by The Lapidary Office. We reserve the right to refuse or cancel any order for any lawful reason, including pricing errors, product availability, suspected fraud, or other circumstances beyond our control. Prices and product availability are subject to change without notice. All purchases are subject to the applicable refund, cancellation, and service-specific policies incorporated into these Terms by reference. Physical product purchases are governed by our Return and Refund Policy. Digital subscription services are governed by the Digital Subscription Agreement and applicable digital product refund terms. Custom lapidary services are governed by the Lapidary Service Agreement and applicable service refund terms. In the event of a conflict between the general Return and Refund Policy and a service-specific agreement, the service-specific agreement shall control.

7. Description of Services

The Lapidary Office operates an online platform providing information, an online store for gemstones and related goods, customer account features, and access to services offered under separate agreements.

Specialized services offered by The Lapidary Office are governed by separate agreements that are incorporated into these Terms by reference:

  • Lapidary Services (including mail-in faceting, cutting, and custom lapidary work) are strictly governed by our Lapidary Service Agreement.

  • Digital Subscription Services (including access to "The Vault," GCS design files, and PDF downloads) are strictly governed by our Digital Subscription Agreement.

In the event of a direct conflict between these general Terms of Service and a specific standalone agreement, the provisions of the specific agreement shall govern. This includes, without limitation, provisions relating to payment terms, refunds, service performance, intellectual property rights, warranties, and limitations of liability.

8. Shipping and Delivery

Delivery dates are estimates only. Once an order has been transferred to the shipping carrier, delays caused by the carrier are outside our control.

9. Acceptable Use

You agree to use the Website only for lawful purposes. You are strictly prohibited from:

  • Submitting materials or communications that are illegal, stolen, defamatory, or abusive.

  • Attempting to breach, test, or circumvent the security of the Website, servers, or user accounts.

  • Automated scraping, data-mining, using bots, scripts, or spiders to hoard or systematically harvest content without explicit written consent.

  • Distributing viruses, malware, or harmful code through our platform.

10. Intellectual Property

All content, branding, logos, text, graphics, product photography, faceting patterns, original gemstone designs, written content, software, downloadable files, digital content, and other original creative works on the Website are the exclusive property of The Lapidary Office or its licensors and are protected by copyright, trademark, and intellectual property laws. You are granted only the limited rights expressly provided through applicable agreements governing specific services. For example, Digital Subscription Services such as The Vault are governed by the Digital Subscription Agreement, which may grant additional limited-use rights, including permitted use of design files for cutting physical gemstones. No ownership rights, copyright interests, or intellectual property rights in any Website content or Digital Assets are transferred to you unless expressly stated in writing.

11. Third-Party Services

Our Website may integrate with or contain links to third-party services, payment processors, or embedded content (e.g., Stripe, PayPal, Square). We do not control, endorse, or assume responsibility for any third-party websites, software, content, or payment processing practices.

12. Right to Refuse Service

We reserve the right, to the extent permitted by applicable law, to refuse service, cancel orders, or deny access to the Website or any associated services to anyone at any time, at our sole discretion.

13. Suspension and Termination

The Lapidary Office may suspend or terminate access to accounts, services, or portions of the Website where permitted by law due to violation of these Terms, applicable service agreements, payment obligations, security concerns, fraudulent activity, misuse of services, or conduct that may harm the Company, its users, or its intellectual property.

Termination, cancellation, and access rights for specific services may be governed by separate agreements. In the event of a conflict regarding a specific service, the applicable service agreement shall control.

For Digital Subscription Services, including The Vault, cancellation by a subscriber and termination by The Lapidary Office are governed by the Digital Subscription Agreement.

14. Disclaimers

This Website and all site content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted site availability.

15. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall The Lapidary Office, its owner, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of business opportunity, or other intangible losses arising from or related to your use of the Website, products, or services.

The total aggregate liability of The Lapidary Office for any claim arising out of or relating to a specific product or service shall be limited to the amount permitted under the applicable agreement governing that product or service. Where a separate service agreement contains a specific limitation of liability, that limitation shall control.

You agree to defend, indemnify, and hold harmless The Lapidary Office, its owner, and employees from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your misuse of the Website.

17. Force Majeure

We shall not be liable for any delay, interruption, suspension, or failure to perform resulting from causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cybersecurity incidents, shipping disruptions, equipment failures, third-party service failures, or acts of common carriers.

Force majeure events may temporarily delay or prevent performance of affected obligations. Such events do not relieve either party of obligations that arose before the event occurred and do not limit any rights or remedies that cannot be waived under applicable law.

Nothing in these Terms limits any rights you may have under applicable consumer protection laws that cannot be waived.

19. Governing Law

These Terms and any disputes arising from your use of the Website shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

20. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through direct communication.

Certain services may be subject to additional dispute resolution procedures contained in applicable standalone agreements. Where a separate agreement provides specific dispute resolution procedures for a particular service, those procedures shall control.

Except where prohibited by law or where a separate agreement provides otherwise, any legal suit, action, or proceeding arising out of or relating to these Terms or use of the Website shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction and venue of such courts.

Certain products and services offered by The Lapidary Office may be governed by separate agreements containing additional dispute resolution procedures. Where a separate agreement applies to a specific product or service, the dispute resolution provisions of that agreement shall govern those specific disputes.

21. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

22. Changes to These Terms

24. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

25. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision in the future.

26. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer our rights under these Terms at our discretion.
